Theolia's board of directors grants unqualified approval to the financial restructuring plan

PRESS RELEASE: The THEOLIA Board of directors met and reviewed the final version of the fairness opinion prepared by Ricol Lasteyrie, which was appointed by the Board as independent financial expert in connection with the proposed financial restructuring announced to the market on December 29, 2009.

This final report confirms the preliminary conclusions, presented by Ricol Lasteyrie to the Board on December 21, 2009, which served as the basis for the Board's acceptance of the financial restructuring plan on December 28, 2009. The report confirms that the proposed financial restructuring is in the interest of all concerned parties, including THEOLIA, its shareholders and the bondholders, and concludes to the fairness of the financial restructuring from both the shareholders' and the bondholders' points of view.

On the basis of this final report, the THEOLIA Board has given its final and unqualified approval of the proposed financial restructuring. It will shortly be convening both the bondholder and shareholder General Meetings which will be asked to approve the financial restructuring.

LE CONSEIL D'ADMINISTRATION DE THEOLIA APPROUVE DE MANIÈRE DÉFINITIVE LE PLAN DE RESTRUCTURATION FINANCIÈRE Le Conseil d'administration de THEOLIA a pris connaissance du rapport définitif établi par Ricol Lasteyrie, expert financier indépendant qu'il avait désigné pour se prononcer sur les modalités proposées du plan de restructuration des OCEANEs annoncé le 29 décembre 2009.

Ce rapport définitif confirme les analyses préliminaires exposées par Ricol Lasteyrie lors du Conseil d'administration le 21 décembre dernier, et sur la base desquelles le plan de restructuration financière avait été adopté le 28 décembre. Il confirme que la restructuration financière proposée est dans l'intérêt de toutes les parties concernées, y compris THEOLIA, ses actionnaires et les obligataires et conclut au caractère équitable de cette restructuration financière tant du point de vue des actionnaires que de celui des obligataires. Sur la base de ce rapport définitif, le Conseil d'administration de THEOLIA a approuvé de manière définitive et sans réserve le plan de restructuration financière.

Il convoquera prochainement en assemblées générales les obligataires et les actionnaires auxquels il sera demandé d'approuver la restructuration financière.
